Terms of Service

1. Eligibility and Account Registration

1.1 Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher) to use the Service. By using the Service, you represent that you meet this age requirement and have the legal capacity to enter into these Terms. If you are using the Service on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms, and "you" refers to both you individually and that entity.

1.2 Account Registration

You authenticate through Sign in with Apple or Google Sign-In. You are responsible for:

• •Providing accurate, current, and complete information
• •Maintaining the security of your authentication credentials
• •All activity that occurs under your account
• •Promptly notifying us at security@voraiq.com of any unauthorized use

1.3 One Account Per User

You may not maintain multiple accounts to evade restrictions, exceed limits, or circumvent enforcement of these Terms.

2. The Service

Vora IQ provides an AI-native operating system for founders, including thirteen specialized AI agents (such as Vora, Echo, Axis, Sarrif, Scribe, Shield, Ledger, Pivot, Insight, Forge, Apollo, Vibe, and Pulse/Reflect/Brief) that assist with business planning, execution, and growth. The Service includes a Business Context Layer that, with your direction, ingests information about your business so agents can provide tailored outputs.

The Service is software. It is not a financial advisor, lawyer, accountant, tax professional, investment advisor, or any other licensed professional. See Section 7 for important disclosures about AI outputs.

3. Subscriptions, Payments, and Auto-Renewal

3.1 Subscription Plans

Certain features of the Service require a paid subscription. Current plans, pricing, and features are described at voraiq.com/pricing and within the Service. We may change plans, features, or pricing at any time. For existing paid subscriptions, price changes will not take effect until your next renewal and we will provide at least 30 days' notice.

3.2 Billing

By starting a paid subscription, you authorize Vora IQ and our payment processor (Stripe) to charge your payment method on a recurring basis (monthly or annually, as selected). You are responsible for keeping payment information current.

3.3 Auto-Renewal

YOUR SUBSCRIPTION AUTOMATICALLY RENEWS AT THE END OF EACH BILLING PERIOD AT THE THEN-CURRENT RATE UNTIL YOU CANCEL. CANCELLATION TAKES EFFECT AT THE END OF YOUR CURRENT BILLING PERIOD. YOU WILL NOT RECEIVE A REFUND FOR THE CURRENT PERIOD.

You can cancel at any time through your account settings, through the Apple App Store (for iOS subscriptions), or by emailing billing@voraiq.com. For California residents, you may cancel by any of the methods described in California Business and Professions Code Section 17602.

3.4 Free Trials

If we offer a free trial, your paid subscription begins automatically at the end of the trial period at the then-current rate unless you cancel before the trial ends. Trial eligibility and length are at our discretion.

3.5 Refunds

Except where required by law, fees are non-refundable. We may, in our sole discretion, provide refunds or credits on a case-by-case basis. For iOS subscriptions, refund requests must be made through Apple.

3.6 Taxes

You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities. Where required, Vora IQ will collect applicable sales tax.

4. Beta Features

From time to time, we may offer features identified as "beta," "preview," "early access," or similar. These features are provided as-is, may be unstable, may be modified or discontinued at any time, and may have additional terms. Use of beta features is at your own risk.

5. Your Content and License to Vora IQ

5.1 Your Content

"Your Content" means any information, business ideas, strategies, plans, documents, prompts, files, data, and other materials you submit to, upload to, or create through the Service, including data ingested through connected third-party accounts (such as Stripe and Meta) at your direction.

5.2 Ownership of Your Content

You retain all ownership rights in Your Content. Vora IQ does not claim ownership of your business ideas, strategies, or creative work.

5.3 License You Grant to Vora IQ

You grant Vora IQ a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, create derivative works of, transmit, and display Your Content solely to:

• •Operate, provide, and improve the Service
• •Generate AI outputs in response to your prompts and use of agents
• •Perform analytics necessary to operate the Service
• •Comply with legal obligations

This license terminates when you delete Your Content or your account, except that we may retain backups, logs, and aggregated or de-identified data as described in our Privacy Policy.

5.4 Your Representations Regarding Your Content

You represent and warrant that you have all rights, licenses, and permissions necessary to submit Your Content and grant the license above, and that Your Content does not violate any law or any third party's rights.

6. AI Agents and Outputs

6.1 Ownership of Agent Outputs

Subject to your compliance with these Terms, Vora IQ assigns to you ownership of the outputs generated by Vora IQ agents specifically in response to your prompts and Your Content ("Outputs"). You may use Outputs for any lawful purpose.

6.2 Limitations on Output Ownership

You acknowledge that:

• •AI outputs may be similar or identical to outputs generated for other users from similar prompts. We make no warranty that Outputs are unique to you.
• •Outputs may not be copyrightable under applicable law (current US Copyright Office guidance limits copyright protection for AI-generated content).
• •Outputs may incorporate or be influenced by training data of underlying foundation models, and Vora IQ does not warrant that Outputs are free of third-party claims.
• •You are responsible for reviewing Outputs before relying on them or making them public.

6.3 Use of De-Identified Data

As described in our Privacy Policy, we may use aggregated and de-identified data derived from use of the Service (including patterns across prompts and Outputs) for analytics, research, benchmarks, trend products, and Service improvement. We will not use Your Content in identifiable form to train AI models without your explicit opt-in consent.

7. AI Disclaimers and No Professional Advice

READ THIS SECTION CAREFULLY. IT DESCRIBES IMPORTANT LIMITATIONS ON THE OUTPUTS YOU RECEIVE FROM THE SERVICE.

7.1 AI Outputs Are Not Advice

The Service uses artificial intelligence to generate Outputs. Outputs are not professional advice and must not be relied upon as such. Specifically:

• •Financial analysis from Ledger, Pivot, Insight, Forge, or any other agent is not financial, accounting, investment, or tax advice. Consult a licensed professional for financial decisions.
• •Strategic, operational, or business recommendations from any agent are not professional consulting advice. You bear full responsibility for business decisions.
• •Any content that touches legal topics is not legal advice. Consult a licensed attorney.
• •Health, wellness, or personal information is not medical advice.

7.2 AI Outputs May Be Wrong

AI systems are probabilistic and may produce outputs that are inaccurate, incomplete, misleading, biased, fabricated, or out of date. You must independently verify any Output before relying on it for any consequential decision. Vora IQ does not warrant the accuracy, completeness, reliability, or fitness of Outputs for any purpose.

7.3 Automated Decisions

To the extent the Service produces automated decisions that have a legal or similarly significant effect, you may request human review by emailing privacy@voraiq.com. See our Privacy Policy for details.

7.4 You Are Responsible for Your Decisions

Every business decision you make based on Outputs is your decision. Vora IQ is not your business partner, advisor, agent, or fiduciary.

8. Acceptable Use

You agree not to use the Service to:

• •Violate any law, regulation, or third party's rights
• •Infringe intellectual property rights, including by submitting copyrighted material without permission
• •Generate, transmit, or store content that is defamatory, harassing, hateful, sexually explicit, violent, or otherwise objectionable
• •Generate or facilitate fraud, scams, phishing, spam, or deceptive practices
• •Impersonate any person or entity or misrepresent your affiliation
• •Probe, scan, or test the vulnerability of the Service or circumvent security or authentication measures
• •Interfere with or disrupt the Service or servers or networks connected to the Service
• •Use automated means (bots, scrapers, crawlers) to access the Service except as expressly permitted
• •Reverse engineer, decompile, or disassemble the Service or attempt to derive source code
• •Use the Service or Outputs to develop, train, or improve a competing AI product or service
• •Resell, sublicense, or commercially redistribute access to the Service without our written consent
• •Use the Service to generate content that violates the policies of integrated third-party platforms (including Apple App Store, Meta, and Stripe)
• •Use the Service in connection with any high-risk activity where failure could result in death, personal injury, or severe environmental damage

9. Third-Party Services and Integrations

The Service integrates with third-party services such as Stripe, Apple, Meta, and the foundation model providers listed in our Privacy Policy. Your use of these third-party services is governed by their own terms and privacy policies. Vora IQ is not responsible for the acts, omissions, or content of third parties.

When you connect a third-party account or direct an agent (such as Echo) to interact with a third-party platform, you are responsible for complying with that platform's terms. You authorize Vora IQ to access and act on the third-party service on your behalf solely as you direct.

10. Vora IQ's Intellectual Property

The Service, including all software, designs, agent personas, names, logos, trademarks (including "VORA IQ"), and content provided by Vora IQ, is owned by Vora IQ or our licensors and is protected by intellectual property laws. Except for the limited license described below, no rights are granted to you.

Subject to your compliance with these Terms, Vora IQ grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal personal or business purposes. This license terminates when these Terms terminate.

11. Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant Vora IQ a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose, without obligation to you.

12. DMCA and Copyright Complaints

Vora IQ respects intellectual property rights. If you believe content on the Service infringes your copyright, send a notice to our designated DMCA agent containing the information required by 17 U.S.C. § 512(c)(3):

• •Identification of the allegedly infringing material and its location
• •Your contact information
• •A statement of good faith belief that the use is not authorized
• •A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the owner
• •Your physical or electronic signature

Send notices to: dmca@voraiq.com. We will respond in accordance with the DMCA, including by removing or disabling access to allegedly infringing material and terminating repeat infringers in appropriate circumstances.

13. Termination

13.1 Termination by You

You may terminate your account at any time through account settings or by emailing hello@voraiq.com. Termination does not entitle you to a refund of fees paid for the current billing period.

13.2 Termination by Vora IQ

We may suspend or terminate your account, with or without notice, if:

• •You violate these Terms or our Acceptable Use policy
• •Your payment fails or is reversed
• •We are required by law
• •Your continued use poses a security or legal risk to Vora IQ or other users
• •We discontinue the Service

13.3 Effect of Termination

On termination, your right to access the Service ends. We will retain or delete Your Content in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive termination will survive, including Sections 5.3 (license to Vora IQ for retained data), 6 (Outputs), 10 (IP), 11 (Feedback), 13.3 (Effect of Termination), 14 (Disclaimers), 15 (Limitation of Liability), 16 (Indemnification), 17 (Dispute Resolution), 18 (Governing Law), and 19 (General Provisions).

14. Disclaimers

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, VORA IQ DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

VORA IQ DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT OUTPUTS WILL BE ACCURATE, RELIABLE, COMPLETE, OR SUITABLE FOR ANY PURPOSE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES. IN THOSE JURISDICTIONS, SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VORA IQ AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY, AND EVEN IF VORA IQ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL VORA IQ'S TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO VORA IQ IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

THE LIMITATIONS IN THIS SECTION APPLY EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF CERTAIN DAMAGES. IN THOSE JURISDICTIONS, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

16. Indemnification

You will defend, indemnify, and hold harmless Vora IQ and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to:

• •Your Content
• •Your use of the Service and any Outputs
• •Your violation of these Terms or any law or third-party rights
• •Your business decisions, including those informed by Outputs
• •Content you publish through Vora IQ to third-party platforms (including via Echo)

Vora IQ may assume the exclusive defense and control of any matter subject to indemnification, in which case you will cooperate with Vora IQ. You will not settle any matter without our prior written consent.

17. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO ARBITRATE DISPUTES WITH VORA IQ AND LIMITS THE WAY YOU CAN SEEK RELIEF.

17.1 Informal Resolution

Before filing any claim, you agree to try to resolve the dispute informally by emailing legal@voraiq.com with a description of the claim. We will try in good faith to resolve the dispute within 60 days.

17.2 Binding Arbitration

If informal resolution fails, any dispute arising from or related to these Terms or the Service will be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, except as modified here. Arbitration will be conducted in English by a single arbitrator in Wilmington, Delaware, or by video conference at your election. Judgment on the award may be entered in any court of competent jurisdiction.

17.3 Class Action Waiver

YOU AND VORA IQ AGREE THAT DISPUTES WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS OR PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING.

17.4 Exceptions

Either party may bring an individual action in small claims court. Either party may seek injunctive or equitable relief in court for actual or threatened infringement of intellectual property or unauthorized access to the Service.

17.5 Opt-Out

You may opt out of this arbitration agreement by emailing legal@voraiq.com within 30 days of first accepting these Terms with the subject line "Arbitration Opt-Out" and your account email. Opting out does not affect any other provision of these Terms.

17.6 Survival

This Section 17 survives termination of these Terms.

18. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Subject to Section 17, any action not subject to arbitration must be brought exclusively in the state or federal courts located in Wilmington, Delaware, and you consent to personal jurisdiction in those courts.

19. General Provisions

19.1 Entire Agreement

These Terms, together with the Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and Vora IQ regarding the Service and supersede all prior agreements.

19.2 Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice by email or through the Service before the changes take effect. Continued use of the Service after the effective date constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service.

19.3 Assignment

You may not assign or transfer these Terms or any rights or obligations without our prior written consent. We may freely assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

19.4 Force Majeure

Neither party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, war, terrorism, civil unrest, pandemics, labor disputes, internet or utility outages, or governmental action.

19.5 No Waiver

Failure to enforce any provision is not a waiver of that provision.

19.6 Severability

If any provision is found unenforceable, the remaining provisions will continue in full force, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

19.7 No Agency

Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and Vora IQ.

19.8 Notices

We may send notices to the email address associated with your account. You may send notices to Vora IQ at legal@voraiq.com or by mail to the address in Section 20.

19.9 Export Controls

You agree to comply with all applicable export and sanctions laws and represent that you are not located in, or a resident of, any country subject to comprehensive US sanctions, and are not on any US government denied-party list.

19.10 US Government Users

The Service is "commercial computer software" provided with restricted rights as defined in FAR 12.212 and DFARS 227.7202.
